1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Client,” “you,” or “your”) and Moblevate Ltd (“Company,” “we,” “us,” or “our”). These Terms govern your access to and use of our demand-side platform (“DSP”), website, dashboards, and related services (collectively, the “Services”).

By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Description of Services

Moblevate provides a programmatic advertising platform enabling Clients to plan, purchase, manage, optimise, and measure digital advertising campaigns, including but not limited to display, mobile, video, and connected TV (CTV) inventory.

3. Eligibility and Account Registration

  • Services are intended for business use only for individuals aged 18 years or older.
  • You must provide accurate and complete information during registration.
  • You are responsible for maintaining login credential confidentiality.
  • We may terminate accounts that violate these terms.

4. Client Obligations

You represent and warrant that:

  • You have authority to enter into these Terms.
  • All advertising materials comply with applicable laws and industry standards.
  • You have obtained all necessary rights, licences, and consents.
  • You are solely responsible for campaign configuration and targeting settings.

5. Fees and Payment

Fees and billing shall be governed by separate insertion orders or media plans. Unless otherwise agreed:

  • Fees are payable in GBP.
  • Media spend is non-refundable once activated.
  • Late payments may result in suspension of Services.

6. Prohibited Use

You may not use the Services to:

  • Promote illegal, misleading, or harmful content.
  • Generate fraudulent, invalid, or non-human traffic.
  • Distribute malware or malicious code.
  • Circumvent consent frameworks or privacy controls.

7. Intellectual Property

All rights, title, and interest in the Services, including software, algorithms, and technology, remain the exclusive property of Moblevate Ltd. You are granted a limited, non-exclusive licence for internal business purposes only.

8. Client Content

You retain ownership of your advertising creatives. You grant us a limited licence to host, process, and deliver such materials solely for the purpose of providing the Services.

9. Data Protection

Both parties agree to comply with UK GDPR and GDPR (where applicable). Data transfers outside the UK or EEA will be protected by Standard Contractual Clauses.

10. Disclaimers

The Services are provided “as is.” We do not guarantee specific campaign performance outcomes, availability of particular inventory, or uninterrupted service.

11. Limitation of Liability

Our total aggregate liability shall not exceed the total fees paid by you to us in the twelve (12) months preceding the claim. We shall not be liable for indirect or consequential damages.

12. Indemnification

You agree to indemnify Moblevate Ltd against claims arising from your breach of these Terms, your advertising content, or your violation of applicable law.

13. Term and Termination

We may suspend or terminate your access for breach of terms, non-payment, or to comply with legal obligations. Termination does not relieve outstanding payment obligations.

14. Miscellaneous

These Terms constitute the entire agreement. We may update these Terms by posting revised versions on our website. Disputes are subject to the laws of England and Wales.
